1. Agreement and Acceptance

These Terms of Service (“Terms”) govern your use of How Marketing Technology Works® (HMTW), an educational content platform operated by Digital Mindshare LLC (“Digital Mindshare”), a marketing technology consulting firm.

By accessing, browsing, or using HMTW in any way, you agree to be bound by these Terms. If you do not agree with any part of these Terms, do not use our platform.

2. Who We Are & What We Offer

HMTW is a free educational platform offering content and services that may include original analysis, curated content, newsletters, white papers, webinars, courses, and workshops. HMTW is explicitly not professional consulting, legal or financial advice, product recommendations, or a neutral news source. We are operated by a consultancy with business interests.

3. Content Types & Transparency

3.1 Curated Content

Articles and resources from external sources with summaries written by Digital Mindshare and direct links to the original source. Featured content does NOT imply our endorsement. Our curation inherently reflects our business interests and consulting methodology.

3.2 Original Content

Research, analysis, and frameworks created by Digital Mindshare. This content represents our methodology and expertise and is designed to demonstrate our consulting value. Original content is our opinion and analysis, not professional consulting advice.

3.3 Promotional Content

HMTW carries banner placements promoting Gene De Libero’s own ventures and, occasionally, work by colleagues. They are not endorsements of any product or service. Following one takes you to a third-party site governed by that site’s own terms.

4. Content Sourcing & Attribution

Every curated content item includes the original article title, source publication, a direct link to the original, and a brief summary written by Digital Mindshare. We do not copy full articles, republish content in violation of copyright, or remove attribution.

5. Newsletter Subscriptions & Email Management

HMTW newsletters may include curated content, original analysis, and promotional content for Gene De Libero’s own properties. Every email includes an unsubscribe link. Unsubscribing from newsletters does NOT unsubscribe you from consulting communications if you’ve engaged with Digital Mindshare consulting services.

You may access and read content, subscribe to newsletters, share content with attribution, and use content for professional development. You may NOT scrape content with automated tools, republish without permission, use HMTW to promote competing services, or claim Digital Mindshare content as your own.

All original articles, frameworks, guides, and research are owned by Digital Mindshare. “How Marketing Technology Works®” is a registered trademark owned by Gene De Libero. You may read, share, and reference our original content with attribution, but may not use it for commercial purposes without permission.

9. Content Disclaimers & Limitations

HMTW content provides general information and educational guidance. It is not consulting, legal, financial, or other professional advice, and using it does not create a consulting or advisory relationship with Digital Mindshare or Gene De Libero. Every organization operates under conditions we cannot know. Apply this material at your own judgment and risk: outcomes depend on your execution, and neither Digital Mindshare nor Gene De Libero accepts liability for decisions made or actions taken based on it. Any results or examples described are illustrative and are not a promise of similar results. HMTW is provided “as-is” without warranties of any kind. We do not validate vendor product claims.

We are not responsible for the content, accuracy, privacy practices, or security of external websites. When you click a link to an external website, that site’s privacy policy and terms of service apply.

11. Limitation of Liability

Digital Mindshare’s total liability in connection with any claim arising from HMTW shall not exceed $100 USD. We are not liable for indirect, special, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold Digital Mindshare harmless from any claims, damages, losses, or expenses arising from your use of HMTW, violation of these Terms, violation of any law, or infringement of third-party intellectual property rights.

13. Dispute Resolution

Disputes will be resolved through individual binding arbitration under New York law. You waive the right to participate in class action lawsuits or group arbitrations.

14. Governing Law

These Terms are governed by the laws of New York, United States.
